Shopify Merchant Agreement

This Shopify Merchant Agreement (the "Merchant Agreement") is between Freak Holdings Ltd, trading as Freakout AI ("Freakout", "we", "us", or "our"), and the Shopify merchant, store owner, or merchant organisation that installs, approves billing for, or uses the Freakout AI Shopify app ("Merchant", "you", or "your").

This Merchant Agreement supplements our Terms and Conditions and Privacy Policy. For Shopify app use, this Merchant Agreement controls if it conflicts with our general Terms. If you have a separate signed agreement with Freakout, that written agreement controls to the extent it expressly conflicts with this Merchant Agreement.

1. Parties and Scope

The Freakout AI Shopify app connects a Merchant's Shopify store to Freakout services for immersive commerce workflows, including 3D, visual, and AI-assisted product presentation features. You confirm that you have authority to bind the Merchant and the Shopify store that installs or uses the app.

This Merchant Agreement applies to the Shopify app, related Shopify billing, support, account administration, and any service credits or entitlements made available through the app.

2. Shopify App Services

Freakout provides the Shopify app and related Freakout services. Shopify provides the Shopify platform, store administration tools, and Shopify Billing. We are responsible for the app and for supporting Merchant questions about Freakout services.

  • You are responsible for your Shopify store, products, content, permissions, and compliance with Shopify rules.
  • You must not use the app to submit content that infringes rights, violates law, or would breach our acceptable use requirements.
  • Some app features rely on third-party suppliers for AI generation, hosting, storage, analytics, security, or payment processing.

3. Credits and Service Entitlements

Credits shown in the Freakout AI Shopify app are internal service entitlements. They allow access to eligible Freakout features, such as generation or processing features, according to the plan or purchase that made them available.

  • Credits are not money, electronic money, stored value, a gift card, a deposit, or a cash balance.
  • Credits have no cash value, are not redeemable for cash, and are not transferable except with Freakout's written consent.
  • Credits may be limited by plan, feature type, expiration, promotional terms, or technical availability.

4. Provisional Credits and Settlement

When you approve a Shopify app charge, subscription, usage charge, or other Shopify Billing transaction, Freakout may show or make credits available before Shopify has collected and settled the underlying payment. Any credits made available before collection and settlement are provisional.

Provisional credits become final only after the relevant charge is collected and settled to Freakout or otherwise confirmed by Shopify as payable to Freakout. Displaying credits in the app does not waive our right to correct billing status, remove provisional credits, or reconcile an unpaid balance.

5. Non-Payment, Clawback, and Suspension

If a Shopify charge is declined, uncollected, reversed, charged back, cancelled before settlement, refunded, or if the Shopify billing relationship ends with amounts unpaid, Freakout may remove any unspent credits or entitlements associated with that charge.

Where non-payment affects your account, Freakout may suspend or limit features that create new supplier costs, including AI generation, 3D generation, asset processing, or other paid compute and supplier-backed functions, until the billing issue is resolved.

Freakout will not remove already generated storefront assets solely because of non-payment for a later or provisional credit purchase, unless removal is required for security, legal compliance, intellectual-property enforcement, platform rules, or another reason allowed by this Merchant Agreement or our Terms.

6. Negative Balances and Set-Off

If provisional credits are used before Freakout learns that the underlying Shopify charge was not collected or settled, Freakout may record a negative internal credit balance or unpaid account balance for the Merchant.

  • Freakout may require payment or account reconciliation before additional supplier-cost features are enabled.
  • Freakout may set off a negative balance against future credits or entitlements from later settled purchases.
  • A negative internal balance does not create cash redeemability or change the service-entitlement nature of credits.

7. Refunds and Credits

Refunds are available only against amounts actually collected and received through Shopify Billing or another payment provider. If a charge has not been collected, Freakout may cancel, adjust, or remove the related credits instead of issuing a cash refund.

Approved refunds may be processed through Shopify Billing or another applicable payment provider. Refund availability, timing, taxes, currency conversion, and payment-method effects may depend on the relevant provider and applicable law.

8. Merchant Data and Post-Uninstall Retention

We use Merchant Data from Shopify only to provide, secure, administer, support, improve, bill for, and enforce the Freakout AI Shopify app, and as otherwise described in our Privacy Policy.

After app uninstall or account closure, Freakout deletes Shopify Merchant Data within the period required by Shopify unless retention remains necessary to provide a requested service, comply with law, resolve billing or refund disputes, keep security and audit records, prevent fraud or abuse, or enforce this Merchant Agreement.

For those limited purposes, Freakout may retain minimal identifiers and records such as shop domain, Shopify shop ID, charge or subscription IDs, agreement version, acceptance and billing timestamps, billing status, audit entries, support history, fraud or abuse markers, and unpaid-balance records. We do not retain Shopify customer data, product content, or order content after uninstall except where needed for the limited purposes above or where applicable law requires or permits retention.

9. Shopify Role and Responsibility

Shopify is not a party to this Merchant Agreement and is not responsible for the Freakout AI Shopify app, app support, app performance, Freakout services, or Freakout billing decisions except to the extent Shopify separately provides Shopify Billing or platform services under its own agreements.

10. Survival

Terms that by their nature should survive uninstall, expiration, or termination continue to apply, including payment obligations, unpaid-balance reconciliation, set-off, refund limits, data retention, confidentiality, ownership, warranty disclaimers, limitations of liability, dispute terms, and provisions needed to enforce this Merchant Agreement.
